The Role

Superdry is at a pivotal point in our journey, having recently agreed on a comprehensive restructuring plan. Our mission is clear: to deliver a robust turnaround strategy and restore Superdry to its best. We are seeking passionate independent Non-Executive Directors to join us on this transformative path, bringing their finance and retail brand expertise to our board. 

The Board Chair will provide leadership to the Board of Directors, ensuring the effectiveness of the board in fulfilling its governance responsibilities. The Chair will play a critical role in overseeing the company's strategic direction, fostering a positive board culture, and maintaining strong relationships with senior management, stakeholders, and shareholders. This individual will also ensure that the board operates within the highest standards of corporate governance and aligns with Superdry's mission, vision, brand values and behaviours.

Location: Flexible  

Commitment: Max 20 days a year - including quarterly formal meetings and a monthly meeting (virtual / offline) and any ad hoc as required 

You Will

1. Leadership and Governance:

  • Work with the CEO to lead the Board of Directors in setting the strategic direction for Superdry.
  • Ensure effective governance practices are in place and adhered to.
  • Facilitate open and constructive communication among board members.
  • Oversee the agenda setting, preparation, and conduct of board meetings.

2. Strategic Oversight:

  • Provide guidance and support to the CEO and senior management team.
  • Monitor the implementation of the company’s strategic plans and objectives.
  • Ensure that the board regularly reviews and updates the company’s strategic priorities.

3. Board Development and Evaluation:

  • Lead the process of recruiting, developing, and evaluating board members.
  • Promote a diverse and inclusive board environment.
  • Conduct regular performance assessments of the board and its members.

4.  Engagement:

  • Act as a key liaison between the board, shareholders, and other stakeholders.
  • Represent Superdry in public forums, enhancing the company’s profile and reputation.
  • Ensure effective communication and reporting to shareholders and other stakeholders.

5. Compliance and Risk Management:

  • Ensure that the company adheres to legal, regulatory, and ethical standards.
  • Oversee the identification and management of key risks facing the company.
  • Ensure that the company has robust financial controls and reporting systems in place.

6. Succession Planning:

  • Lead the development and implementation of succession plans for key executive positions.
  • Ensure continuity of leadership and smooth transitions within the board and senior management.

You Are

Qualifications:

  • Proven experience as a Board Chair, Non-Executive Director, or in a senior executive role, preferably within the fashion or retail industry.
  • Strong understanding of corporate governance principles and practices.
  • Demonstrated ability to think strategically and provide leadership at the board level.
  • Excellent communication, interpersonal, and negotiation skills.
  • Ability to build consensus and foster a collaborative board culture.
  • Strong financial acumen and understanding of business operations.
  • Commitment to sustainability and corporate social responsibility.
  • Previous experience in international markets is highly desirable.
